MUTUAL NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement ("Agreement") is entered into on this date by and between:

Disclosing Party: The App Owner
("Disclosing Party")

and

Receiving Party: ____________
("Receiving Party")

Collectively referred to as the "Parties."

1. PURPOSE
The Parties wish to explore a potential business relationship and, in connection therewith, may disclose certain confidential and proprietary information to each other.

2. DEFINITION OF CONFIDENTIAL INFORMATION
"Confidential Information" means any and all non-public, proprietary, or confidential information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party"), whether disclosed orally, in writing, electronically, or by any other means. This includes, without limitation: patent applications, invention disclosures, technical data, trade secrets, know-how, business plans, customer lists, financial information, product designs, software code, research, development, marketing strategies, and any other information that a reasonable person would understand to be confidential.

3. OBLIGATIONS OF RECEIVING PARTY
The Receiving Party agrees to:
  (a) hold all Confidential Information in strict confidence and take all reasonable measures to protect such information;
  (b) not disclose, distribute, or otherwise make available any Confidential Information to any third party without the prior written consent of the Disclosing Party;
  (c) use the Confidential Information solely for the purpose of evaluating the potential business relationship;
  (d) not reverse engineer, decompile, or attempt to derive the source of any Confidential Information;
  (e) limit access to Confidential Information to those employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations at least as restrictive as those herein.

4. EXCLUSIONS
Confidential Information does not include information that:
  (a) is or becomes publicly available without breach of this Agreement;
  (b) was known to the Receiving Party prior to disclosure without obligation of confidence;
  (c) is independently developed without use of or reference to the Confidential Information;
  (d) is rightfully obtained from a third party without obligation of confidence.

5. TERM
This Agreement shall be effective upon signing and shall remain in effect for a period of five (5) years from the date of disclosure of each item of Confidential Information, unless otherwise agreed in writing.

6. RETURN OF MATERIALS
Upon written request of the Disclosing Party, or upon termination of discussions, the Receiving Party shall promptly return or destroy all Confidential Information in its possession.

7. NO LICENSE
Nothing in this Agreement grants any right, title, or interest in or to any Confidential Information or intellectual property of the Disclosing Party. All Confidential Information remains the sole property of the Disclosing Party.

8. REMEDIES
The Receiving Party acknowledges that any breach of this Agreement may cause irreparable harm to the Disclosing Party, for which monetary damages may be inadequate. The Disclosing Party shall be entitled to seek injunctive relief and other equitable remedies in addition to any other remedies available at law.

9. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the United States and the state in which the Disclosing Party resides.

10. ELECTRONIC SIGNATURE
The Parties agree that this Agreement may be executed electronically, and that an electronic signature has the same legal effect as a handwritten signature. This Agreement is cryptographically sealed with a timestamp and stored securely.

IN WITNESS WHEREOF, the Parties have executed this Agreement as of the date of signing.
